Terms of Service

Last updated: 4 September 2026

These terms describe how Shenzhen Wuyou Technology Co., Ltd. (“Wuyou Technology”, “we”, “us”) provides software development and related services. A signed proposal, statement of work or contract for a specific project takes precedence over these terms where they differ.

1. Services

We provide custom software design and development, integration, automation, cloud infrastructure and maintenance services. The scope, deliverables, timeline and price of each project are set out in a written proposal agreed by both parties before work starts.

2. Quotes and payment

3. Changes to scope

Requests that fall outside the agreed scope are estimated and approved in writing before they are built. Approved changes may adjust the price and timeline.

4. Client responsibilities

The client provides timely feedback, content, access and decisions needed for the project, and confirms it has the right to use any material, data or third-party services it supplies to us.

5. Intellectual property

On full payment, the client owns the custom source code and deliverables created for the project. We retain ownership of pre-existing tools, libraries and know-how, and grant the client a perpetual licence to use them as part of the deliverables. Open-source components remain under their own licences.

6. Confidentiality

Each party keeps the other’s non-public information confidential and uses it only for the project. This obligation continues after the project ends.

7. Acceptance and warranty

Deliverables are reviewed against the agreed scope. We correct defects reported within 30 days of delivery at no charge. Beyond that period, fixes and improvements are covered by a support agreement or billed at our standard rate.

8. Limitation of liability

To the extent permitted by law, our total liability for any project is limited to the fees paid for that project, and neither party is liable for indirect or consequential loss. Nothing in these terms limits liability that cannot be limited by law.

9. Termination

Either party may end a project with 14 days’ written notice. The client pays for work completed up to the termination date and receives the corresponding deliverables.

10. Governing law

These terms are governed by the laws of the People’s Republic of China. The parties will first try to resolve any dispute amicably; failing that, disputes are submitted to the competent court in Shenzhen, unless a project contract specifies otherwise.
